LearnUpon borrows 44.5 million euros to grow without diluting its shareholders
LearnUpon, an enterprise learning software company based in Dublin, has secured a growth financing facility of 44.5 million euros (50 million US dollars) from Claret Capital Partners, a growth debt fund manager in London, in October 2026. The deal is structured so that existing shareholders avoid equity dilution. Brendan Noud and Des Anderson founded LearnUpon in 2012. The money will fund its Agentic Learning Platform, international expansion and acquisitions.
By choosing debt over a new equity round, LearnUpon keeps its existing shareholders' stakes whole after more than a decade of building. Headlines rarely show the trade-off. Fast product development and acquisitions, like the purchase of Courseau in November 2025, now run on borrowed money instead of shared capital. The cost falls on the company's future cash flows, not on the owners' percentages.
